1. Acceptance of Terms

Welcome to Baaby. By accessing or using the website located at baaby.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). Baaby is a property of Luminous Pathways LLC, located in Brewster, NY 10509 ("Company," "we," "us," or "our"). If you do not agree to all of these Terms, you may not access or use the Site.

These Terms constitute a legally binding agreement between you and Luminous Pathways LLC. By creating an account, claiming a provider listing, or otherwise using any features of the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms along with our Privacy Policy, which is incorporated herein by reference.

You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Site on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Baaby is a comprehensive directory connecting expectant and new parents with maternal and infant care providers across the United States. The Site includes listings for a wide range of provider categories, including but not limited to midwives, doulas, lactation consultants, OB-GYNs, pediatricians, maternal mental health therapists, childbirth educators, prenatal yoga instructors, pelvic floor specialists, and other professionals serving families during pregnancy, birth, and early parenthood.

In addition to our provider directory, the Site offers a suite of tools and resources designed to support parents and parents-to-be, including a due date calculator, baby name explorer, pregnancy nutrition guide, birth plan builder, hospital bag checklist, and weight tracker. We may add, modify, or discontinue features or tools at our discretion and without prior notice.

The Site also provides editorial content, articles, and informational guides related to pregnancy, birth, postpartum care, and infant health. Baaby does not itself provide medical care, diagnose conditions, or prescribe treatment. See Section 8 for important information about medical disclaimers.

3. User Accounts

Certain features of the Site require you to create an account. When you register, you agree to provide accurate, current, and complete information, including your name, email address, and account type (parent or provider). You agree to update this information as necessary to keep it accurate and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account at any time if we reasonably believe that your account information is inaccurate, that you have violated these Terms, or that your account has been compromised. You may not transfer or assign your account to any other person or entity.

4. Provider Listings and Claim Flow

Baaby maintains a directory of maternal and infant care providers. Provider listings may be created from publicly available information, including professional directories, licensing databases, and other public sources. The presence of a listing on Baaby does not constitute an endorsement, recommendation, or verification of any provider's qualifications, competence, or quality of care.

If you are a provider listed on Baaby, you may claim your listing by completing our verification process. By claiming a listing, you represent and warrant that:

You are the individual or an authorized representative of the practice identified in the listing.
All information you provide in connection with your claimed listing is accurate, current, and not misleading.
You hold all licenses, certifications, and credentials referenced in your listing as required by applicable law.
You will promptly update your listing if any information becomes inaccurate or outdated.

Baaby reserves the right to verify the identity of any provider claiming a listing and to reject, remove, or modify any listing at our sole discretion. Providers who have claimed their listing are responsible for the accuracy and completeness of all information displayed on their profile.

5. Content and Intellectual Property

All content on the Site, including text, graphics, logos, icons, images, data compilations, software, and the overall design and arrangement of the Site (collectively, "Site Content"), is the property of Luminous Pathways LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may access and use the Site Content solely for your personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Site Content without our prior written consent, except as expressly permitted by these Terms.

The Baaby name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Luminous Pathways LLC. You may not use such marks without our prior written permission.

6. User-Generated Content

The Site may allow you to submit, post, or share content, including reviews, ratings, comments, and other materials ("User Content"). You retain ownership of any intellectual property rights you hold in your User Content. However, by submitting User Content to the Site, you grant Luminous Pathways LLC a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the operation and promotion of the Site.

You represent and warrant that your User Content:

Is based on your genuine, firsthand experience (in the case of reviews and ratings).
Does not contain false, misleading, or defamatory statements.
Does not infringe on the intellectual property, privacy, or other rights of any third party.
Does not contain any unlawful, threatening, abusive, harassing, or otherwise objectionable material.
Does not contain any advertising, solicitation, or spam.

We reserve the right, but have no obligation, to monitor, edit, or remove any User Content at our sole discretion, including content that we determine violates these Terms or is otherwise objectionable. We are not responsible or liable for any User Content posted by you or any third party.

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Using the Site for any purpose that is illegal or prohibited by these Terms.
Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
Claiming a provider listing for a practice or individual you are not authorized to represent.
Posting false, misleading, or fraudulent reviews, ratings, or other content.
Using automated means (including bots, scrapers, or spiders) to access the Site, collect data, or interact with the Site without our prior written consent.
Attempting to interfere with, compromise, or disrupt the Site or its underlying infrastructure.
Transmitting any viruses, malware, or other harmful code through the Site.
Harassing, threatening, or intimidating other users or providers listed on the Site.
Using the Site to collect or harvest personal information about other users without their consent.
Circumventing or attempting to circumvent any security features of the Site.

8. Medical Disclaimer

The content and tools provided on Baaby, including provider listings, articles, calculators, guides, and other resources, are intended for informational and educational purposes only. Nothing on this Site should be construed as medical advice, diagnosis, or treatment.

Baaby is not a healthcare provider. We do not recommend or endorse any specific providers, treatments, procedures, opinions, or other information that may be mentioned on the Site. The inclusion of a provider in our directory does not constitute a referral or endorsement.

Always seek the advice of a qualified healthcare provider with any questions you may have regarding a medical condition, pregnancy, childbirth, or infant care. Never disregard professional medical advice or delay in seeking it because of something you have read on this Site. If you think you may have a medical emergency, call your doctor or 911 immediately.

The results provided by our tools (including the due date calculator, nutrition guide, and weight tracker) are estimates and general guidelines only. They are not a substitute for personalized medical care from a qualified professional.

9. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Luminous Pathways LLC. These links are provided for your convenience only. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Your interactions with any third-party websites or services, including provider websites linked from our directory, are solely between you and the third party. We encourage you to review the terms and privacy policies of any third-party site you visit.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUMINOUS PATHWAYS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

Your access to or use of (or inability to use) the Site.
Any conduct or content of any third party on the Site, including any provider listed in our directory.
Any content obtained from the Site, including provider information, articles, or tool results.
Unauthorized access, use, or alteration of your account or content.
Any decisions you make based on information found on the Site.

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION PROVIDED THROUGH THE SITE IS ACCURATE OR COMPLETE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to defend, indemnify, and hold harmless Luminous Pathways LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any User Content you submit, post, or transmit through the Site.

12. Termination

We may terminate or suspend your account and access to the Site immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms. Upon termination, your right to use the Site will cease immediately.

You may terminate your account at any time by contacting us at [email protected]. Upon termination of your account, we will delete your personal account information in accordance with our Privacy Policy, except as required by law or as necessary for our legitimate business purposes.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of these Terms and, at our discretion, by providing additional notice (such as by email or through a notice on the Site). Your continued use of the Site after any changes become effective constitutes your acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of New York, and you hereby consent to the personal jurisdiction and venue of such courts.
